Scope and acceptance

The Alice GRC Portal ("the Service") is offered to AliceSolutionsGroup ("we") customers on a per-engagement basis and pursuant to service agreements, commercial proposals, and annexes (including privacy and security commitments where signed). Use of the Service constitutes acceptance of these terms to the extent that they do not conflict with a signed agreement; in case of conflict — the signed agreement prevails.

Use is the responsibility of the authorized user and of the client organization, including role assignment, account management, and the implementation of internal policy that complies with applicable law (including GDPR and Israeli privacy law where applicable).

Nature of the service and professional limitations

The Service is intended to support preliminary mapping, compliance assessments, and organizational knowledge management for governance and AI topics. It is not a certification audit, an official standard, regulator approval, or legal/accounting advice. Outputs, reports, and views in the UI are a basis for professional discussion and do not substitute the organization's managerial, legal, or regulatory decisions.

Use of AI, accuracy, and arrangements with external vendors (including OpenAI)

Use of AI-model-based capabilities in the Service — if and when available — will occur only on explicit activation and approval by the client organization, and subject to project settings and the agreement.

The organization is aware that content generated by generative models may contain errors, omissions, or "hallucinations" and may be stale. The organization is responsible for reviewing every output before relying on it, and in particular before any decision with legal or material impact on individuals ("significant decisions" under GDPR in relevant cases).

Where the organization chooses to connect services provided by a third party such as OpenAI, the contractual arrangement and regulatory compliance with that vendor apply primarily between the organization and the vendor ("between the organization and OpenAI") and between the organization and additional vendors as agreed. Alice will provide the interface and service according to the organization's instructions and subject to documents signed with Alice; Alice does not undertake on behalf of the organization toward OpenAI except as explicitly included in writing and in a mandate from the organization.

Accounts, permissions, and confidentiality

Users must keep their sign-in credentials confidential, and keep organizational information entered into the Service confidential. Access is granted to authorized users only, per the roles configured with the organization — for example organization admins, team members, or department managers per the access model applied for the customer. The organization is responsible for updating permissions when roles change or when personnel leave.

Intellectual property and permitted use

The Service content, structure, code, and documentation provided by Alice are protected by copyright and by contract. Do not copy, decompile, reverse-engineer, or circumvent security measures. Content entered by the organization remains the organization's property subject to the agreement and to third-party rights in user-entered content.

Privacy, GDPR, and no external marketing on customer data

Processing of personal data in the Service is subject to the DPA and to Alice's Privacy Policy, as well as to the organization's instructions as data controller where the law so provides. Alice does not use organizational content for external advertising or for sale of data. See the Privacy Policy for further details.

Limitation of liability

The Service is provided "As Is" within the framework of the agreement. We work toward reasonable availability and regular maintenance, but there is no guarantee of uninterrupted service or absolute resilience against cyber events. In no case will Alice's liability exceed the limits set in the agreement and subject to applicable law to the maximum permitted.

Changes to these terms

We may update these terms from time to time; an updated version will be published with an updated date. Material continued use after publication may be deemed acceptance — note any agreement provisions that state otherwise.
